StockNow User Terms and Agreements

Summary

The following terms and conditions (the "Terms") govern all use of the StockNow.xyz website, and any other website operated by ISTOCKNOW COMPUTER SOFTWARE LLC. or its subsidiaries, (each a "Site," and collectively, the "Sites"), any related StockNow mobile device application (the "Apps"), and any products and services available at the Sites or Apps (collectively with the Sites and the Apps, the "Service").

In these Terms, "you" or "your" means the person accepting these Terms and the company (if any) on whose behalf he/she is acting, and "we," "us," "our," "StockNow," or the "Company" means ISTOCKNOW COMPUTER SOFTWARE LLC. and its subsidiaries. The Terms describe your rights and responsibilities and form a legally binding agreement between StockNow and you with respect to your use of the Service. By using or accessing any part of the Service, you agree that you are at least eighteen (18) years old and have read, understand, and agree to be bound by all of these terms and conditions. If you do not agree to all of these terms and conditions, you must not use or access the Service. If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that company to the terms of these Terms. This license does not allow programatically crawling, download, duplicating data by using any data crawling tools for any purpose unless expressly permitted by StockNow in writing.

You understand that all blogs, postings, inclduing text, images, video or other materials ("Content") posted or published on, uploaded to, transmitted through, or linked from (hereinafter, "blog", "post", "replies" or "reacted"), whether by StockNow service, users of the Service ("Users") or Authors (as defined below), are the sole responsibility of the person or entity from whom such Content originated. You agree that by using the Service, you may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. StockNow, its subsidiaries and partners are not responsible for the conduct, whether online or offline, of any User or Author. You agree that you bear all risks associated with, the use or posting of any Content, that you may not rely on said Content, and that under no circumstances will StockNow, its subsidiaries, or partners be liable in any way for any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted or otherwise made available via the Service. You may not copy or redistribute any content to anywhere else on the internet without our consent. The Services are also a platform for individuals and companies to advertise their blogs, posts and products, which are not under any review, pre-approval and scruity. 4. User Content published and posted on the Service

You are solely responsible for the Content that you post on or through the Service, or otherwise transmit to or share with other Users (collectively, the "User Content"). You shall not (and shall not permit any third party to) create or distribute of any post, blog and content on or through the Service, that: (1) you did not create or have permission to post; (2) attempts to impersonate any other party; (3) infringes any patent, trademark, trade secret, copyright, moral right, right of publicity, right of privacy, or other right of any other person or entity or violates these Terms or any law or contractual duty (see our Notice of Infringement – DMCA policy below); you know is false, misleading, untruthful or inaccurate; defames, libels, ridicules, mocks, disparages, threatens, harass, intimidates or abuses anyone; (4) collect information about users without their consent; (5) constitutes unauthorized or unsolicited advertising, junk or bulk email; (6) includes anyone's privacy data or documents;

You acknowledge that StockNow does not pre-screen, endorse or approve User Content, but that StockNow reserve all rights (but not the obligation) to remove delete any posts, messages replies, blogs, reactions.

B. Leagal and Compliances

1. StockExchange regulatory

You agree to insure that any information disseminated pursuant to the Service, whether such dissemination is made (a) by you or on your behalf by a person authorized to disseminate information on your behalf or (b) otherwise, in any case, complies with all statutes, rules, regulations, orders or other governmental acts of any jurisdiction, whether foreign or domestic, including without limitation, (1) The Securities Act of 1933, as amended, including the rules and regulations promulgated thereunder; (2) The Securities and Exchange Act of 1934, as amended, including Rule 10b-5 and the other rules and regulations promulgated thereunder; (3) Regulation FD promulgated by the Securities and Exchange Commission; (4) Any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ; (5) Regulations promulgated by FINRA

2. Copyright

We respect the intellectual property rights of others and we prohibit Users from posting or otherwise transmitting on the Service any materials that violate another party's intellectual property rights. If you believe that your work has been reproduced in the Service in a manner that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, you may submit a notification to us. StockNow owns the rights, title and interest in and to the Service and all of the content that appears on the Service (website and apps), except that blogs, posts Content shall remain owned by the author user who posted such User Content. StockNow's intellectual property rights include, but not limited to StockNow trademarks, copyrights, software, webpage, css, legal contents, emojis, pictures, gifs, etc. You agree that you have no title, right or interest in any content owned by StockNow platform.

4. Privacy

By using the Service, you are consenting to have your personal data transferred to and processed in the United States. 5. Class Action Waiver

StockNow is a investment forum, provides a fun place to individual investors and users to share, learn and have fun on investment. As a user, you agree to waive all the rights to initiate or create any class action and lawsuit against the company. If you DONOT agree, you are prohibited from using the StockNow service.

6. Feedbacks

You acknowledge and agree that any feedbacks, suggestions comments and other information about the Service ("Feedbacks"), provided by you to the Company via email, phone call, comments, survey, etc., are non-confidential and shall become the sole property of the Company. The Company shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of this Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

User may blog or post links to other websites data, StockNow is not responsible for the accuracy of any data from Third-Party services and websites or from any platform users.

2.Advertising

As part of the Service, we may include advertisements provided by StockNow and/or a third party, which may be targeted to the Content or information on the Service, queries made through the Service, or other information. The types and extent of advertising on the Service are subject to change. In consideration for StockNow granting you access to and use of the Service, you agree that StockNow and its third party providers and partners may place such advertising on the Service or in connection with the display of Content or information from the Service whether submitted by you or others. Third party advertisers and sponsors are responsible for ensuring that material submitted for inclusion in advertisements on the Service is accurate and complies with applicable laws. StockNow is not responsible for the illegality or any error, inaccuracy or problem in the advertiser's or sponsor's materials.

3. Account Information from Third Party Sites

Users may permit StockNow to retrieve their own information maintained by third-parties such as Google, facebook, apple etc. StockNow use API to communicate with third party website to retrieve your account registration information, such as user last name, firstname, profile image, email address, etc. data. Those data will be used, processed and governed by our privacy policy here.

1. Rules, restrictions on Content and Use of Service

StockNow owns all interest, title, license, and copyright of all software and content appears in website and apps, include but may not limit to JavaScript code, HTML code, CSS code, icon, logo images, and StockNow trademark. No user shall download, duplicate, copy or use the software and artifacts from StockNow website, apps for any personal or commercial purpose, except that if you have received the written agreement from ISTOCKNOW COMPUTER SOFTWARE LLC. We will update terms here when releasing our iOS and Andriod apps.

G. Miscellaneous Terms

These Terms constitute the entire agreement between you and the Company regarding the use of the Service, superseding any prior agreements between you and the Company relating to your use of the Service. The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision in that or any other instance. If any provision of these Terms is held invalid, the remainder of these Terms shall continue in full force and effect. If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
